Engagement terms — advisory and diagnostic services

1 · Who you are contracting with
Indoor Sciences is the consulting practice of Saniservice LLC, Dubai. Every engagement described on this site is with Saniservice LLC. There is no other party.
Your contract with us consists of the quotation you have accepted, these terms, and the General Terms and Conditions of Saniservice LLC, in that order of precedence. These terms apply to the diagnostic, advisory, supervision and verification services offered through this site. The General Conditions apply in all other respects.
The following parts of the General Conditions concern products and consumer services and do not apply to the services on this site: §5.1–5.5 (product returns), §6.1 (in-store pickup), §7.1–7.3 and §7.5 (product defects and warranties), §10 (online and mobile accounts), §11.2 and §11.4 (SaniApp), §13.1 (product warranties), and the schedule in §15.2.
2 · What we provide
Four services, defined in the quotation you accept:
- Investigation— measurement, sampling and analysis of a building's moisture, air and surface condition.
- Prescription— a written specification of what is to be done, in priority order.
- Supervision— attendance during remediation to check that the work follows the specification.
- Verification— post-work measurement and sampling against the criteria stated in the prescription, reported separately from the work.
The quotation defines the scope. We are under no obligation to report on anything outside it (General Conditions §2.4).
3 · Reports
A report records the condition of the building at the time and place of inspection, by the methods stated in the report. It is professional opinion based on those findings. It is not a warranty of the building's condition at any other time, or of parts not inspected.
Every report distinguishes what was measured from what was modelled, inferred or assumed, and states the instruments and methods used. Laboratory results are reported as received from the laboratory that produced them, which is identified in the report.
A prescription is a recommendation. Whether it produces the intended result depends on how it is carried out and on conditions in the building after we leave. We do not warrant outcomes.
4 · Who may rely on a report
A report is prepared for you and may be relied on by you. It may not be relied on by anyone else — an insurer, a buyer, a landlord, a tenant, a lender — without our written agreement (General Conditions §9.2). A reliance letter to a named third party may be requested, and may be subject to a fee and to conditions.
You may share a report with others. If you do, share it whole. A report excerpted or edited so as to change its meaning is no longer our report, and we accept no responsibility for it in that form.
5 · Supervision — what it does and does not authorise
Where we supervise remediation, our role is to check the work against the specification and to report to you.
If work departs from the specification, we tell you and we tell the contractor. We instruct the contractor to pause pending your instruction only where the quotation you have accepted grants us that authority. Otherwise we recommend and you decide.
We do not take the place of you or the contractor, and we do not assume your obligations to the contractor or theirs to you (General Conditions §2.7). The contractor's contract remains yours.
6 · Verification when Saniservice does the work
Saniservice LLC also carries out remediation. If you appoint Saniservice as contractor following our prescription, verification is still performed by Indoor Sciences.
In that case:
- Verification is carried out by staff who did not perform the remediation.
- It uses the criteria and methods stated in the prescription, unchanged.
- It is reported in a separate document from the works report.
- The verification report states that Saniservice was the contractor.
We do not describe such verification as independent, because it is not. If you want independent verification, you may appoint another practice at your own cost, and we will supply the prescription's criteria to them.
7 · Third-party contractors
Where you prefer a contractor other than Saniservice, we may propose one we have assessed, or you may appoint your own. Any delegation of our own services to a subcontractor requires your consent (General Conditions §2.5). A contractor's work is the contractor's responsibility, not ours; our responsibility is the supervision and verification you have engaged us for.
8 · Confidentiality
Ours. What we find in your building — the findings, measurements, photographs, laboratory results and reports — is confidential to you. We disclose it only:
- to you and to those you name;
- to a contractor engaged on the work, to the extent needed and under the same obligation;
- to the partner laboratory, for analysis;
- where the law or a competent authority requires it.
We may use anonymised findings — with the client, the building and any identifying detail removed — in the practice's research and published notes.
Yours. Our methods, criteria, report formats and the content of a prescription are our work. You may use them for the building they were prepared for. You may not use the Saniservice or Indoor Sciences name in advertising without written consent (General Conditions §16.3).
9 · Samples, data and access
Physical samples are consumed in analysis and are not retained. Instrument data underlying a report is kept with the report for the same period and is available to you on request.
You will give us the access set out in General Conditions §3, including to concealed spaces where the engagement requires it, and will tell us in advance of any hazard you know of (§3.7). Time lost to access we could not obtain is charged (§4.7).
10 · Fees, cancellation and liability
Fees are as stated in the quotation. A quotation is valid for 30 days from its date. Investigation fees are payable in full before the site visit is scheduled. In all other respects General Conditions §4 applies.
Cancellation or rescheduling of a site visit with less than one full business day's notice incurs the administration fee in General Conditions §5.6.
Liability is limited as set out in General Conditions §9.
11 · Complaints
If you are dissatisfied with any part of our work, tell us within 48 hours of receiving the report or of the site visit (General Conditions §7.4 and §15.1). We will investigate and reply in writing.
12 · Governing law
UAE law, with the non-exclusive jurisdiction of the DIFC Courts (General Conditions §17).
